Terms of Service

Please read these terms carefully before placing orders for commercial refrigeration equipment or utilizing our OEM/ODM services.

1 Acceptance of Terms

By accessing the Chillpantry website, requesting a quotation, or placing an order for our commercial refrigeration products (including freezers, beverage display coolers, and ice cream freezers), you ("Buyer") agree to be bound by these Terms of Service.

These terms constitute a legally binding agreement between Chillpantry ("Seller", "we", "us") and the entity you represent. If you do not agree to these terms, please do not proceed with any purchase or use our services.

2 Definitions

  • "Seller" Refers to Chillpantry, the manufacturer of commercial refrigeration equipment.
  • "Buyer" Refers to the company, firm, or person who purchases the Goods from the Seller.
  • "Goods" Refers to the refrigeration equipment, spare parts, and documentation supplied by the Seller.
  • "OEM/ODM" Refers to Original Equipment Manufacturing and Original Design Manufacturing services provided for custom orders.

3 Orders & Specifications

3.1 Order Confirmation: No order submitted by the Buyer shall be deemed to be accepted by the Seller unless and until confirmed in writing (e.g., Proforma Invoice) by the Seller's authorized representative.

3.2 Customization (OEM/ODM): For custom orders requiring specific branding, colors, metal finishes, or technical modifications, the Buyer must provide complete and accurate specifications. The Seller reserves the right to adjust lead times based on the complexity of customization.

3.3 Changes: Any changes to specifications requested by the Buyer after order confirmation may incur additional costs and affect delivery schedules.

4 Price & Payment

Currency & Taxes

Unless otherwise agreed in writing, all prices are quoted in US Dollars (USD) or Chinese Yuan (RMB) on an Ex-Works (EXW) or FOB basis. Prices are exclusive of VAT, customs duties, and other import taxes applicable in the Buyer's country.

Payment Terms

Standard terms require a 30% deposit via T/T upon order confirmation, with the remaining 70% balance due before shipment or against the Bill of Lading (B/L) copy, subject to credit approval.

5 Delivery, Shipping & Risk

5.1 Incoterms: Delivery terms shall be interpreted in accordance with INCOTERMS 2020. Unless otherwise specified, shipments are FOB (Free on Board) from Chinese ports.

5.2 Lead Time: Estimated delivery dates are provided for reference only. While Chillpantry utilizes 8 production lines to ensure efficiency, we shall not be liable for delays caused by force majeure, shipping carrier delays, or customs clearance issues.

5.3 Inspection: We conduct 100% ex-factory testing and ISO 2859 sampling inspections. The Buyer is entitled to arrange pre-shipment inspection (PSI) at their own expense prior to the goods leaving our factory.

6 Quality Assurance & Warranty

Warranty Period

Chillpantry provides a standard 1-year warranty on main components (compressor, condenser, evaporator) from the date of the Bill of Lading.

Claims Process

In the event of a defect, the Buyer must notify the Seller in writing within the warranty period, providing photos/videos and serial numbers.

The Seller's obligation is limited to providing free spare parts for replacement. We do not cover on-site labor costs in the Buyer's country unless explicitly agreed upon in a separate Service Level Agreement.

Exclusions

Warranty does not cover damage resulting from improper installation, voltage instability, unauthorized modification, or normal wear and tear (e.g., lights, glass, gaskets).

7 Intellectual Property

7.1 Seller's IP: All intellectual property rights related to the Seller's standard products, designs, and technology remain the sole property of Chillpantry.

7.2 OEM/ODM Rights: For OEM products manufactured according to the Buyer's design, the Buyer warrants that such designs do not infringe upon any third-party intellectual property rights. The Buyer agrees to indemnify the Seller against any claims related to IP infringement arising from the manufacture of such goods.

8 Limitation of Liability

To the maximum extent permitted by law, Chillpantry shall not be liable for any indirect, special, incidental, or consequential damages (including but not limited to loss of profit, loss of business, or depletion of goodwill) arising out of or in connection with the supply of goods. Our total liability shall in no event exceed the purchase price of the specific goods giving rise to the claim.

9 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or in connection with these Terms or any contract between the Buyer and Seller shall be settled through friendly negotiation. If no settlement can be reached, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration.
